How it works

We assist in preparing blockchain and other tokenized projects for a security token offering. With guidance from legal counsel, companies can offer their securities worldwide and in compliance with applicable financial regulations.

What is STO?

3 Simple steps

A Security Token Offering is simpler than it sounds.

In fact, it can often be an easier process than a utility token offering. STOs often have geographic restrictions, and in many ways can be more affordable than the traditional ICO model.

We have to choose a financial instrument to back the security tokens we will be offering to investors. It could be equity or debt.

To issue security tokens which will be offered to the investors. During this stage, we create smart-contracts to outline the rights of investors and your security offering details.

Prepare
documents and materials for investors

On this stage, we are working on organizing legal documents for establishing the STO. We are preparing PPM (private placement memorandum), collecting the documents and creating new ones for the investor relations, register the offering.

On this stage, the project is searching for the investors and attract investments according to its needs. Traditionally, this process we can define in three directions:

  • Attracting the investors on the special platforms (listings), where registered investors and projects meet each other (such as https://www.startengine.com, https://coinlist.co, https://newalchemy.io, https://seriesone.com).
  • Raising funds with the help of agencies (brokers, dealers). They are attracting the interested in the project investors through the direct calls and custom e-mail campaigns.
  • The face-to-face meeting with the investors we know personally.

4. Promise ROI
A promise of ROI is inconsistent with “utility” and pushes the project to the realm of a security offering.

5. Global sale
The US financial regulators have not yet seen a token offering that qualifies as a utility, therefore all tokenization projects are securities in the US

Digitized Securities:

Traditionally, security transactions are documented via a series of signed contracts and agreements.

Smart contracts automate traditional mechanism of issuing securities.

Instead of paper documents, investors receive encrypted certificates of ownership in a form of security tokens.

Secure tokens serve as a proof of ownership and guarantor of the financial rights: equity, dividends, revenue, profit shares, voting rights etc.
